  • eine geschlossene Tranche, in der Verkaufsaktion\u00e4re an die Mitarbeiter der Emittent-Gruppe nicht mehr als 25.000 Stock vom verkauften Aktien angeboten haben.<\/li>\n<\/ul>\n

    Zusammenfassung des \u00f6ffentlichen Angebots von SECO\/WARWICK Stock<\/h3>\n

    Die Zuteilung von Aktien im Rahmen des \u00f6ffentlichen Angebots von SECO\/WARWICK S.A. fand am 26. November 2007. Den Anleger wurde 1.155.803 Aktien der Serie B Stock (alle neu ausgegebenen Aktien) und 1.528.868 Aktien der Serie A Stock, verkauft von den abgebenden Aktion\u00e4ren, zugeteilt.<\/p>\n

    In den einzelnen Zeichnungen von Anleger-Tranchen wurden f\u00fcr insgesamt 272.442 Aktien der Serie B Stock platziert, au\u00dferhalb 570.000 Aktien der Serie B Stock in dieser Tranche angeboten. Serie-B-Aktien wurden den Anlegern nach den eingereichten Zeichnungen zugeteilt, und die nicht bezogenen Aktien der Serie B Stock wurden an die institutionelle Anleger-Tranche verschoben.<\/p>\n

    In der geschlossenen Tranche haben die Anleger f\u00fcr 17.598 Aktien der Serie A Stock\u00a0 gezeichnet, au\u00dferhalb 25.000 Aktien der Serie A Stock in dieser Tranche angeboten. Gem\u00e4\u00df dem Prospekt, wurden die nicht bezogenen Aktien der Serie A Stock an die institutionelle Anleger-Tranche verschoben.<\/p>\n

    In der institutionellen Anleger-Tranche haben die Anlegen f\u00fcr alle der 2.247.229 angebotenen Aktien, vorgesehen in dieser Tranche, gezeichnet. Dar\u00fcber hinaus aus dem insgesamt 304.960 angebotenen Aktien, verschoben zu dieser Tranche von der einzelnen Anleger-Tranche und der geschlossenen Tranche, haben die Anleger f\u00fcr 147.402 angebotenen Aktien gezeichnet. Insgesamt wurden in der institutionellen Anleger-Tranche am 26. November 2007 wurden insgesamt 2.394.631 angebotenen Aktien zugeteilt, einschlie\u00dflich 883.361 Aktien der Serie B Stock und 1.511.270 Aktien der Serie A Stock.<\/p>\n

    Der Ausgabepreis f\u00fcr SECO\/WARWICK S.A. Aktien wurde auf 37 PLN, wo die Preisspanne zwischen 35-45 PLN lag.<\/p>\n

    Die bisherigen Aktien wurden von SW Polen Holding, ein Unternehmen von 5 Firmenbetriebsleitern geleitet und von Spruce Holding LLC, ein Unternehmen von CEO des Unternehmens kontrolliert, angeboten, \u00a0die dann entsprechend 61,74% und 25,89% der Anteile halten.     The Public Offering was divided into:<\/p>

    • an Individual Investors Tranche, in which the Issuer offered 570,000 shares of Series B Stock,<\/li>
    • an Institutional Investors Tranche, in which the Issuer and Stockholders offered 585,803 shares of Series B Stock and no more than 1,661,426 shares of Sold Stock, respectively,<\/li>
    • a Closed Tranche, in which Selling Stockholders offered no more than 25,000 shares of Sold Stock to employees of the Issuer\u2019s Group.<\/li><\/ul>

      Summary of Public Offering of SECO\/WARWICK S.A. Stock<\/h3>

      The allotment of shares in the public offering of SECO\/WARWICK S.A. took place on 26 November 2007. Investors were allotted 1,155,803 shares of Series B stock (all newly issued shares) and 1,528,868 shares of Series A stock sold by the selling stockholders.<\/p>

      In the Individual Investor Tranche subscriptions were placed for a total of 272,442 shares of Series B Stock, out of 570,000 shares of Series B Stock offered in this tranche. Series B stock was allotted to the investors according the subscriptions filed, and the unsubscribed shares of Series B Stock were moved to the Institutional Investors Tranche.<\/p>

      In the Closed Tranche investors subscribed for 17,598 shares of Series A Stock, out of 25,000 shares of Series A Stock offered in this tranche. As provided in the prospectus, the unsubscribed shares of Series A Stock were moved to the Institutional Investors Tranche.<\/p>

      In the Institutional Investors Tranche, investors subscribed for all of the 2,247,229 Offered Shares provided for in this tranche. Additionally, out of the total of 304,960 Offered Shares moved to this tranche from the Individual Investors Tranche and the Closed Tranche, investors subscribed for 147,402 Offered Shares. Overall, in the Institutional Investors Tranche, on 26 November 2007 a total of 2,394,631 Offered Shares were allotted, including 883,361 shares of Series B Stock and 1,511,270 shares of Series A Stock.<\/p>

      The issue price for SECO\/WARWICK S.A. shares was set at PLN 37, where the price range was PLN 35\u201345.<\/p>

      Existing shares were offered by SW Poland Holding, an entity controlled by 5 company managers, and by Spruce Holding LLC, an entity controlled by the company\u2019s CEO, then holding 61.74% and 25.89% of the shares, respectively. After the offering, their holdings fell to 43.04% and 18.03%, respectively, and new shareholders took up 38.93% of the shares.<\/p>
