Auditor rotation rule<\/strong><\/span><\/p>\n

Acting in\u00a0compliance with the Code of Best Practice for WSE Listed Companies, we\u00a0report that the choice of a\u00a0qualified audit firm to\u00a0audit the financial statements of SECO\/WARWICK S.A. and the financial statements of the SECO\/WARWICK Group rests within the scope of powers of the Company’s Supervisory Board, as\u00a0provided for in\u00a0the Rules of Procedure of the Supervisory Board and the Company’s Articles of Association. Accordingly, the Supervisory Board is responsible for selecting a\u00a0provider of financial review services, including qualified auditor services, to\u00a0audit the consolidated and separate financial statements.<\/p>\n

A\u00a0contract with the selected audit firm qualified to\u00a0audit financial statements, which defines the scope of the assignment and terms of cooperation, is executed by\u00a0the Company’s Management Board.<\/p>\n

The entity authorised to audit the separate financial statements of SECO\/ WARWICK S.A. and the consolidated financial statements of the SECO\/WARWICK Capital Group\u00a0 is, by decision of the Company’s Supervisory Board, KPMG Audyt Sp\u00f3\u0142ka z ograniczon\u0105 odpowiedzialno\u015bci\u0105 sp\u00f3\u0142ka komandytowa with its registered office in Warsaw 00-189, at ul. <\/span>Inflancka 4A.<\/p>\n

\/<\/span>DIVIDEND<\/h2>\n

The decision on\u00a0the distribution of SECO\/WARWICK S.A.’s net profit and the amount of the dividend is made by\u00a0the shareholders at\u00a0the Company’s Ordinary General Meeting. The Company’s Management Board presents a\u00a0proposal for the distribution of net profit to\u00a0the Ordinary General Meeting; and the Management Board’s proposal is subject to\u00a0review by\u00a0the Supervisory Board. Shareholders whose accounts show the Company’s shares on\u00a0the \u2018dividend date\u2019 are entitled to\u00a0receive dividends.<\/p>\n

Dividends for holding the Company’s shares are paid to\u00a0shareholders on\u00a0the \u2018dividend payment date\u2019. The dividend payment process is carried out through the depository system of the National Depository for Securities (KDPW).<\/p>\n

Diversity policy for the Company’s governing bodies and its key managers<\/strong><\/span><\/p>\n

Decisions on hiring new staff and electing members of the Management and Supervisory Boards are made based on objective criteria. Candidates for particular positions are selected based on their high qualifications, professionalism, and competence.<\/span><\/p>\n

Acting in compliance with the Code of Best Practice for WSE Listed Companies, we report that in the past two years the male-female ratio on the Company’s Management Board and Supervisory Board was as follows: men \u2013 100%, women \u2013 0%.<\/p>\n
